After the setup fee, 1% of gross income is the only fee CapitalTech charges — ever:

Most capital markets advisors charge you whether they perform or not. Monthly retainers, project fees, hourly billing — the invoice arrives regardless of results. We think that’s the wrong way to build a partnership.
CapitalTech, LLC operates on a single, transparent fee: 1% of your company’s gross income, paid quarterly. That’s it. No retainer. No project invoices. No hourly rates. If your income is zero, our fee is zero. If your income grows, our fee grows with it — because we’ve done our job.
This alignment is intentional. When your capital program is structured well, your investors are placed efficiently, your offering documents are tight, and your financial model reflects reality — revenue follows. We’ve built the infrastructure to make that happen, and we’ve tied our compensation to whether it does.
Here is what the 1% covers:
- Deal Structuring — We design your capital stack using a Reg D 506c or a Reg A+ Two-Tier architecture — Purpose-built for your sector and your investors.
- Offering Documents — We coordinate your full document suite — Form 1-A Offering Circular, Private Placement Memoranda, Subscription Agreements, Revenue Sharing Agreements, and all supporting legal exhibits — working alongside your securities counsel.
- Financial Modeling — Five-year pro formas, SPV-level capital stack models, distribution waterfalls, and investor return scenarios. Built to hold up in a due diligence room.
- Investor Marketing — Pitch decks, executive summaries, roadshow scripts, investor portal content, and ongoing investor communications — everything your placement agent needs to close capital.
- Compliance Infrastructure — AML/KYC program design, SEC reporting calendars, Bad Actor questionnaires, and Blue Sky coordination — so your offering is clean from day one.
One important distinction: CapitalTech is not a broker-dealer. We do not place securities and we do not earn placement fees. Capital placement — actually marketing your offering to investors and closing subscriptions — is handled exclusively by Mallory Capital Group, our affiliated FINRA-registered broker-dealer. Mallory’s placement fees are a separate matter between Mallory and the client — they are not part of CapitalTech’s fee structure and are not addressed in the Consulting Agreement.
The engagement runs for five years — long enough to build something real. We don’t drop a document package and disappear. We stay at the table through capital raises, closings, investor updates, and new project launches. The 1% fee structure keeps us there, actively working, for the duration.
We work with real estate developers, homebuilders, energy companies, tribal economic development programs, and entertainment and hospitality operators — any company that needs to access private capital markets and wants an advisor with skin in the game.
